2020 SA ANNUAL GENERAL MEETING | NOTICE AND AGENDA

Notice is given that the 2020 Annual General Meeting of the Scrabble Association will commence on 21st March 2020 after the conclusion of the day's play of the Green CC Open at approx. 6 p.m. Any amendments to date and venue will be emailed to members and also posted to the Events page of Toucanet (www.toucanet.com).

  1. Matters Arising

  2. To consider and adopt the minutes of the 2019 Annual General Meeting. These were circulated in the 2019 1Q issue of this newsletter.

  3. To approve the Audited Accounts for the year ended 31 December 2019. The print accounts will be circulated in this issue if ready in time or failing that in the next issue of SA News.

  4. To elect a Treasurer to serve until the conclusion of the 2021 Annual General Meeting and to elect other SA Officers and Committee for until the conclusion of the 2022 Annual General Meeting.
    Note: It is expected that at the 2021 AGM, the committee will recommend that the Secretary will stand for election as Treasurer and vice versa, which will satisfy RoS regulations and minimize disruption.

  5. To elect two new Honorary Auditors for the year to 31 December 2020. SA thanks Charles Carneiro and Leon Tan for serving as Honorary Auditors for 2019.

  6. Any Other Business

  7. To approve the adoption of the updated WESPA Rules v4. In practical terms the new version is already in use in local tournaments.

REMARKS ON SA 2020 AGM

  1. The ongoing coronavirus pandemic has among other things disrupted the scheduling of our AGM. It was supposed to have been held in conjunction with the Jurong Green Open, which has been postponed. In addition, access to Jurong Green CC and other spaces is now restricted and inconvenient.

  2. We are supposed to hold an AGM before the end of March. There is some leeway for postponement but it seems wisest to get the AGM settled without delay. We will therefore proceed with holding it on the 21st March as originally given in the Notice and hope members will bear with the irregularity. Unfortunately constitutions and statutes offer no guidance in the case of pandemics which are hopefully once in a lifetime.

  3. The Secretary is gauging the likely attendance in person so that we can select a suitable venue. Under the circumstances it is expected that attendance will be low. In view of social distancing recommendations, this is no bad thing. In the event the AGM is inquorate, there will be the specified half hour adjournment and then the business on the agenda can proceed.

  4. If you are sick or have recently returned from abroad, you should not attend. It is recommended that those over 60 years of age should also not attend.

  5. While the AGM is in session we will monitor our usual social media channels e.g. WhatsApp in case members wish to bring up relevant matters remotely. Any relevant points can be noted. We will be grateful if these channels are kept clear of other matters for the short period the AGM is in session.

  6. We will adhere to the agenda until ordinary business is concluded. This is primarily the previous year's accounts, election of committee, appointment of auditors. There are normally very few matters aside from these which cannot be dealt with outside of a General Meeting.
